The terms, written like a human.

These terms apply to every paid engagement on this site. They're written to be read in five minutes — not to bury anything in legalese. If anything is unclear, ask before signing.

The agreement

These terms govern any engagement you book through the services page or via direct quote. By paying the first invoice you agree to these terms. If we sign a separate Statement of Work or MSA, the SOW prevails where it conflicts with this page.

Scope of work

Each engagement has a written scope: deliverables, duration, and price. I work to that scope. Out-of-scope requests are welcome but priced separately, either as a change order or as a follow-on engagement.

I'll flag scope drift early rather than absorb it silently. You'll never get a surprise invoice.

Fees & payment

  • All fees are quoted in USD unless agreed otherwise in writing.
  • 50% deposit due before kickoff; balance on delivery, unless a milestone schedule is written into the SOW.
  • Invoices are payable within 7 days. Accepted methods: Payoneer, Wise, Stripe, bank transfer, or major cards.
  • Late payments past 14 days may pause active work until the invoice is settled.

Refund policy

Every engagement is backed by the 14-day refund described in the refund policy. That document is part of these terms.

Intellectual property

On full payment, all custom deliverables produced for you — code, diagrams, reports, prompts, runbooks — are assigned to you. You own them outright.

Pre-existing tools, templates, and frameworks I bring into the engagement remain mine, but you get a perpetual, royalty-free license to use them as part of the delivered work. Open-source components keep their original licenses.

Confidentiality

Anything you share that isn't already public is treated as confidential and used only to deliver the engagement. I'm happy to sign a mutual NDA before sensitive work — I keep one on file or sign yours, whichever is faster.

I may reference the engagement publicly (e.g., "delivered a SaaS architecture for a Series A fintech") without naming you or sharing specifics, unless you ask me not to.

Your responsibilities

  • Provide timely access to systems, accounts, and people I need to do the work.
  • Respond to questions and review deliverables within 3 business days where the schedule depends on it.
  • Make sure you have the rights and authorizations needed for any system I'm asked to audit, modify, or integrate with.

Warranties & liability

I deliver work to a senior professional standard and warrant that it's my original work or properly licensed. Beyond the refund policy, my total liability under any engagement is capped at the fees you paid for that engagement.

I don't accept liability for indirect, incidental, or consequential losses (lost profits, lost data, third-party claims). For high-stakes deployments, keep your own backups, staging environments, and review processes in place.

Ending the engagement

Either side can end the engagement in writing with 7 days' notice. You pay for work delivered up to that point; anything unbilled and undelivered is dropped. Within the 14-day window, the refund policy takes precedence over this clause.

Governing law

These terms are governed by the laws of Bangladesh. Disputes we can't resolve directly will be handled by the courts of Dhaka — but I'd much rather solve it on a call.

Changes to these terms

I may update this page over time. The version in effect for your engagement is the one published on the date your first invoice is paid. Material changes won't apply retroactively to active engagements.
